Vice President / Senior Vice President of Project Finance

ETC Overview:

Energy Transition Capital Management (“ETC”) is a U.S.-based private equity firm investing in and developing critical American energy infrastructure. Our mission is to deliver market-leading, net, after-tax returns to investors through investment in highest-value U.S. energy infrastructure assets. With deep expertise across the U.S. power sector, ETC is positioned to deliver innovative energy solutions that create lasting economic, societal, and environmental impact, supporting the next century of America’s energy and economic leadership.

ETC’s near-term portfolio of utility-scale energy storage and agrivoltaic solar represents an immediate opportunity to provide affordable and reliable power to Puerto Rico and stabilize the electricity grid. The portfolio represents several billion of near-term financing opportunities associated with more than 750 MW of agrivoltaic solar and approximately 2,400 MWh of energy storage, with further additional pipeline opportunity.

The Role:

ETC is seeking an experienced Vice President or Senior Vice President of Project Finance to lead and execute all project-level financing activities and close critical transactions over the next six months and beyond. The role is intentionally scoped to be execution-heavy and hands-on, with flexibility to calibrate seniority, autonomy, and leadership expectations based on experience. This position is ideal for a VP ready to step into a broader ownership role or an SVP who prefers direct deal execution over team management.

Key Responsibilities:

  • Lead and execute all project-level financing processes from initial structuring through financial close, in close coordination with the Investments team.
  • Partner with the Investments team to align financing structures with project economics, returns, and capital strategy, including review and validation of key assumptions, sensitivities, and financing impacts.
  • Translate Investments team analyses into executable financing strategies, term sheets, and market-facing materials for lenders, tax equity investors, and tax credit purchasers.
  • Structure, negotiate, and close:
    • Senior secured debt.
    • Tax credit transfer bridge loans.
    • Tax credit purchase agreements and/or tax equity transactions.
  • Serve as the primary point of contact with lenders, tax equity investors, tax credit buyers, and other capital providers.
  • Manage external advisors, including legal counsel, lenders’ counsel, tax advisors, technical consultants, and insurance advisors, through diligence and financial close.
  • Review, negotiate, and manage financing documentation in collaboration with internal stakeholders and external counsel.
  • Partner with development, engineering, and leadership teams to ensure projects are structured and advanced in a manner consistent with financing requirements, schedules, and market expectations.
  • Drive financing timelines, manage diligence and closing checklists, and ensure alignment between investment approvals and financing execution.
  • VP-level candidates will be expected to operate with significant autonomy, owning day-to-day execution while partnering closely with senior leadership on strategy and approvals.
  • SVP-level candidates will bring deeper market relationships, exercise broad discretion over structuring and negotiations, and serve as the senior internal authority on project-level financing while remaining hands-on in execution.
  • Success in this role will be measured by clear execution outcomes, including:
  • Securing signed term sheets and/or commitments for senior debt and tax credit monetization across the active Puerto Rican portfolio.
  • Driving at least one (and potentially multiple) projects to financial close on an accelerated timeline.
  • Maintaining disciplined control of diligence, documentation, and closing processes with minimal rework or delay.
  • Effectively coordinating with the Investments team to ensure financing outcomes are consistent with approved investment returns and risk parameters.
  • Building strong, credible relationships with lenders, tax equity investors, and tax credit purchasers to support both near-term and future financings.

Qualifications:

  • 10+ years of experience closing large-scale project finance transactions for utility-scale renewable energy projects.
  • Prior experience as a project developer, independent power producer (IPP), utility, infrastructure or private equity fund, commercial bank, lender, or tax equity investor.
  • Demonstrated experience with senior debt and tax equity and/or tax credit transfer structures in the U.S. renewable energy market.
  • Strong understanding of project finance structures, documentation, and risk allocation.
  • Proven ability to independently manage complex, multi-party transactions from term sheet through financial close.
  • Highly self-directed and comfortable working with minimal supervision.
  • Willing to put in substantial effort on an accelerated timeline to close financing over the next six months.
  • Thrives in lean, fast-moving environments with a strong bias toward execution.
  • Clear, direct communicator with strong negotiation skills.
